CLIENT TERMS AND CONDITIONS and END USER LICENSE AGREEMENT

This document is a full disclosure of the End User Licence Agreement and the Client Terms and Conditions for the web sites 'www.girl3d.com' and 'www.egirl3d.com' (herein referred as 'the website') and the software 'EGirl (herein referred as 'the software'). Any person or party who uses the software is herein referred to as 'the user'.

The software and the website are both subject to the Terms and Conditions outlined herein. Installing the software, using the software, and visiting the website constitutes acceptance of these Terms and Conditions.

IF YOU DO NOT AGREE TO THE TERMS OF THE Client Terms and Conditions AND End User License Agreement, THEN DO NOT INSTALL AND USE THE SOFTWARE, AND DO NOT VIEW THE WEBSITE.

Clients Terms and Conditions

1. Adult-Oriented Content
Sections of animation and 3d rendered images of models created by the software and website exhibit simulated behaviors, sounds and images of adult-oriented nature. Upon using the software or visiting the website you assert that you are at least 18 years of age. By accessing material on the website or in the software, you are voluntarily choosing to view content of sexual nature. You understand your local contemporary community standards regarding sexually explicit content, and you affirm that content displayed by the software and the website fall within your community's acceptance of sexually explicit content. You access the website and run the software solely on your own computer, in an environment from which no other parties viewing the software are minors, or might be offended by the software or website content.

2. Compliance with Local, National, and International Laws
You agree to comply with all local, national, international laws and rules which apply to the software and the website. In addition, US law governs these Client Terms and Conditions and End User Licence Agreement, regardless of the country of residence of the user.

3. Software/Computer Compatibility
You affirm that you have installed, and successfully run the demo version of the software on your computer system PRIOR TO paying for and registering the software. In other words, you affirm that the computer system on which you plan to install the full version of the software is compatible with the software. Upon running the demo version of the software, the software clearly indicates if your computer system is not compatible.

4. Termination
These Client Terms and Conditions and End User Licence Agreement may be terminated by the user by uninstalling the software from the computer on which it resides. The user may consult the documentation installed with the software for instructions regarding the uninstall process.

5. Refunds
In general, no refund will be given if the software has been activated and used - all refunds are given according to EGirl Interactive's decision. No refunds are given past 7 days after the date of registration. No refunds will be issued if the user's computer hardware changes such that the software is no longer compatible with the user's computer system. EGirl Interactive reserves the right to take into account special circumstances of the user in the refund decision process.

6. Limited Liability and Disclaimer of Warranty
USE OF THE SOFTWARE AND USE OF THE WEBSITE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. THE SOFTWARE AND THE WEBSITE IS PROVIDED BY 'AS IS' AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL EGIRL INTERACTIVE, ITS EMPLOYEES OR BUSINESS ASSOCIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OR OTHER RELIEF (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF, OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AHEAD OF TIME. EGIRL INTERACTIVE MAKES NO WARRANTY THAT THE SOFTWARE OR THE WEBSITE ARE ACCURATE, UNINTERRUPTED OR FREE OF ERRORS; OR THAT USE OF THE SOFTWARE OR WEBSITE WILL MEET YOUR EXPECTATIONS. IN NO EVENT WILL EGIRL INTERACTIVE, ITS EMPLOYEES OR BUSINESS ASSOCIATES MAXIMUM CUMULATIVE LIABILITY UNDER THE Client Terms and Conditions AND End User Licence Agreement EXCEED ONE DOLLAR ($1.00). THIS DISCLAIMER OF WARRANTY APPLIES TO, AND IS AN ESSENTIAL PART OF BOTH THE Client Terms and Conditions AND THE End User Licence Agreement.

End User Licence Agreement

This End User Licence Agreement is a legal agreement between you (an individual or an entity) and EGirl Interactive for the software 'EGirl' (herein referred to as 'the software'). By installing, using, or activating the software, you agree to be bound by the terms of this End User Licence Agreement.

The Software 'EGirl', produced by EGirl Interactive, is protected by national and international copyright law.

1. Grant of License
EGirl Interactive grants a limited, nonexclusive, nontransferable license, to install and use the software solely for your personal, non-commercial use, adherent to the following terms:

1. For use on a single computer accessible by a single user for an unlimited time period in demo mode, or
2. For use on a single computer accessible by a single user for an unlimited time period, following registration of, payment for, and activation of the software.

You understand that your right to access or activate the software may be modified, discontinued, or suspended by EGirl Interactive, at its discretion, at any time. EGirl Interactive reserves any rights in the software product not expressly granted to you in this End User License Agreement.

2. Software and Intellectual Property Ownership
You agree that the software and all associated content are provided on a licensed basis - that is, you retain no ownership of the software or its associated content. You agree that the software and its content, including the website, belong to EGirl Interactive. Any suggestions or ideas you voluntarily submit regarding improvements for the software may or may not be used, based on EGirl Interactive's discretion. EGirl Interactive has no obligation to you regarding said suggestions or ideas.

All content included with the software or related to the website, including, but not limited to 3d renderings, images, audio recordings, video, 3d data, and any other content included with the software which is licensed to you remains the property of EGirl Interactive, and may not be reproduced, copied, distributed, or sold by any means or method, unless authorized in writing by EGirl Interactive.

3. Installation Environment
You assert that you own the computer on which you download, install, and activate the software, or that you have authorization from the computer's owner to do so. You agree to provide a copy of this End User License Agreement to, and obtain the consent of all other users of the computer on which the software is installed. You agree not to use the software in any way that might offend other individuals or entities, or in any way that might violate laws, rules, or obligations that apply to the environment in which the software is installed.

4. Distribution
You may distribute the software, provided that the copy of the software is in its original form as downloaded from the EGirl Interactive website and that this distribution is free of charge. The distributed software will run in demo mode until it is registered and activated.

5. Transfer to Another Computer
You may transfer the software to another computer, provided that the registered software is deactivated and removed from the computer from which it is transferred. The User's Guide distributed with the software provides instructions how to deactivate the software.

6. Username and Password Disclosure
You may not disclose your username or password to anyone, under any circumstances. Disclosing your username and password to any other party grants EGirl Interactive the right to restrict your ability to activate your registered version of the software. EGirl Interactive reserves the right to temporarily remove your ability to activate the software upon discovery of sufficient evidence that you have shared your username and password with one or more entities. You may not rent, loan, transfer, or sub-license the software to any third party under any circumstances.

7. Reverse Engineering, Interfering with Proper Function
You may not decompile, disassemble, or otherwise reverse engineer the software and its files, nor cause or allow a third party to do the same. You may not attempt to directly or indirectly interfere with the proper functioning of the software or the website. In addition, the software may not be used, in part or whole, to aid in the creation of any other software product.

8. Activation Ability
Upon payment and registration of the software, EGirl Interactive grants you the ability to activate the software as it is installed on your computer, thereby allowing the software to run in full, registered mode. Until you activate the software, it will run in demo mode, with limited functionality. Your ability to activate the software shall automatically and immediately cease upon the termination of license.

9. Performance/Service Failure Liability
EGirl Interactive is not liable for your temporary or intermittent inability to active your copy of the software, whether caused by failure of the computer's internet connection on which the software is installed, or by temporary or intermittent failure of the software activation server. Under no circumstances shall EGirl Interactive be held responsible for any interruption of service, delay, or performance failure which is beyond EGirl Interactive's control.

10. Access to Future Software Versions
EGirl Interactive has no obligation to make available to you any future versions of the software.

11. 18 U.S.C. Section 2257 Compliance Notice
Any sexually explicit voice recording audio content included with the software are recordings of actors/actresses over the age of eighteen years at the time of said recordings. All sexually explicit images displayed by the software and the website are completely computer generated, the creation process of which never involved male or female live models of any kind. Some visual and audio depictions displayed in the product are exempt from the provision of 18 U.S.C. section 2257 and 28 C.F.R. 75 because said visual depictions do not consist of depictions of conduct as specifically listed in 18 U.S.C section 2256 (2) (A) through (D), but are merely depictions of non-sexually explicit nudity, or are depictions of simulated sexual conduct. The owners and operators of the product are the primary producer of most of the visual content contained in the product.

12. Open Source Library License Compliance
EGirl uses a number of open source software libraries. A comprehensive list of all software libraries used and their applicable licenses can be found here. By complying with the EGirl End User License Agreement and Client Terms and Conditions, you will as lo comply with the following libraries' licenses. The following notices are in provided in compliance with said libraries' licenses:

GNU Lesser General Public License (LGPL) - All libraries used by EGirl which are licensed under LGPL are dynamically linked, in compliance with the LGPL.

libxml2 license - This product uses the libxml2 library.

libopenssl license - This product includes software developed by the OpenSSL Project for use in the OpenSSL Toolkit (http://www.openssl.org/)

libfreetype license - Portions of this software are copyright © 1996-2002 The FreeType Project (www.freetype.org). All rights reserved.
